Water Ways Announces $405,750 Private Placements of Equity Convertible Debenture Units

TORONTO, March 03, 2023 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (FRA: WWT) (” Water Ways ” or the ” Company “), a global provider of Israeli-based agriculture technology, providing water irrigation solutions to agricultural producers, announces further to its recently announced ( see press releases dated February 10, 2023 ) private placement (the ” Offering “) the closing, subject to receipt of all regulatory approvals and final TSX Venture Exchange approval, of the Offering of 2,415,000 units (the ” Units “) at a price of CAD$0.13 per Unit, for gross proceeds of up to CAD$313,950 (the ” Gross Proceeds “). Each Unit is comprised of one common share in the capital of the Corporation (each a ” Common Share” ) and one half of one Common Share purchase warrant (each whole Common Share purchase warrant, a ” Warrant “) with each Warrant exercisable into one additional Common Share (a ” Warrant Share ” and, collectively with the Common Shares and Warrants, the ” Securities “) at a price of CAD$0.20 for a period of 36 months from the closing date. If following July 4, 2023, the volume weighted average price (” VWAP “) of the Common Shares for any 10 consecutive trading days equals or exceeds CAD$0.26, the Company may, upon providing written notice to the holders of the Warrants, accelerate the expiry date of the Warrants to the date that is 30 days following the date of such written notice.

In connection with the Offering the Company will issue to Exiteam Capital Partners Ltd.: (i) an aggregate cash payment of CAD$25,116, being an amount equal to 8% of the Gross Proceeds; and (ii) issue 193,200 Finders Warrants (an amount equal to 8% of the Units sold (the ” Finders Warrants “)). Each Finder Warrant will be exercisable into a Unit (consisting of a Common Share and half a Warrant) upon payment of $0.13 per Unit.

In addition, the Company announces further to its recently announced ( see press releases dated June 27, 2022 ) private placement (the ” Financing “), the closing, subject to receipt of all regulatory approvals and final TSX Venture Exchange approval, of the Financing of 9 units (the ” CD Units “) at a price of CAD$10,200 per CD Unit (the ” Subscription Price “), for gross proceeds of up to CAD$91,800 (the ” CD Gross Proceeds “). Each CD Unit comprised of one unsecured convertible debenture (each a ” Convertible Debenture “) with a principal amount of CAD$10,200 and 42,500 half of one Common Share purchase warrant (each whole such Common Share purchase warrant, a ” CD Warrant “) with each CD Warrant exercisable into one additional Common Share (a ” CD Warrant Share “). Aggregate amount of CD Warrants to be issued is 191,250. If the Company does not repay the Subscription Price by the end of the date that is 24 months from the Closing Date (the ” Maturity Date “) the Convertible Debenture only, will be extended by an additional 12 months (the ” Revised Maturity Date “) and the Company will be obligated to pay a penalty, payable in cash, equal to 10% of any amounts of the Subscription Price that were outstanding and not repaid at the end of the Maturity Date. The Convertible Debentures shall bear an annual interest rate of 8%, payable quarterly in cash only (the ” Interest “).

The Convertible Debentures are subject to conversion, at the option of the holder, at a conversion price of CAD$0.24 per Common Share (the ” Conversion Price “) , provided that if, following July 4, 2023, the VWAP of the Common Shares for any 10 consecutive trading days equals or exceeds CAD$0.36, the Company may, upon providing written notice to the holders of the Convertible Debentures, force the conversion of the Convertible Debentures to the date that is 30 days following the date of such written notice.

Each CD Warrant will entitle the holder to purchase an additional Common Share at an exercise price of CAD$0.30 on or before the Maturity Date, provided that if, following July 4, 2023, the VWAP of the Common Shares of for any 10 consecutive trading days equals or exceeds CAD$0.45, the Company may, upon providing written notice to the holders of the CD Warrants, accelerate the expiry date of the CD Warrants to the date that is 30 days following the date of such written notice.

In connection with the Financing the Company will issue to Exiteam Capital Partners Ltd.: (i) an aggregate cash payment of CAD$7,344, being an amount equal to 8% of the CD Gross Proceeds; and (ii) issue 30,600 Finder Warrants (an amount equal to 8% of the Units sold (the ” CD Finders Warrants “)). Each CD Finder Warrant will be exercisable into one half of one Common Share upon payment of $0.24 per CD Finders Warrant.

The intended principal uses of proceeds for both the Offering and the Financing are development and expansion of existing business and working capital purposes.

Water Ways’ Chinese Subsidiary Finalizing Installation of a Blueberries Smart Irrigation System in China

(” IAT Shanghai “), is in the final stages of installing a 30 hectares turnkey blueberries irrigation project in the province of Yunnan, China. Water Ways Receives a Repeat Order For Its Medical Cannabis IOT Precise Irrigation And Fertilaztion System

January 26, 2023 – Toronto, Ontario – Water Ways Technologies Inc. (TSXV: WWT) (“Water Ways” or the “Company“), is pleased to announce that it has received a repeat order for its Medical Cannabis IOT Irrigation and fertilization systems. The order was received from an existing client, an  Israeli licensed producer who is currently expanding his Medical Cannabis cultivation facility in Israel. The system is an Internet of Things (“IOT“) controlled irrigation and fertilization system for Cannabis cultivators and growers. Water Ways designed the system for the specific needs of Cannabis growers and cultivators worldwide. The Company expects to deliver and install the system by the end of February 2023.

The purpose of the IOT system is to increase the yield and consistency for Cannabis growers and cultivators while maintaining high quality, as well as reducing energy, water, and fertilization costs. The system was developed in Israel by the Company’s Research and Development staff of engineers using the Company’s unique knowhow gained in the irrigation industry.

The system is comprised of the following components:

  • A precise drip irrigation system to maximize the cannabis plant’s nutritional absorption together with full monitoring & control of the plant water content & nutrition availability during the different growing stages.
  • A fertilizing system composed of the following main components: raw fertilizer tanks and dosing pumps that inject accurate fertilizer formulation into the different compartments of the facility.
  • Drainage collection, filtration, and water treatment systems.
  • An IOT (Internet of Things) Control Gateway.

An IOT Control Gateway is an integral component of the system which is comprised of an industrial controller and integrated specially developed software to monitor and control various components of the cultivation project. The system allows to control the whole cultivation process by allowing the user to adjust the following features:

  • Irrigation, fertilizing & filtration system.
  • Climate system monitoring.
  • Structural systems (benches, darkening & thermal screens, curtains, heating, dehumidification, ventilation, fans, etc.)

The controller and software are connected and synchronized with a local controller or sensors within the facility. The controller gathers data in a local and remote cloud so the cultivation management staff can use this information to track trends, symptoms and manage correctly their facility.

The controller software can be installed on smart phones, PCs, and local controller touch screens, allowing the growers to decide who is permitted to use the controller, and control it over the web remotely.

Water Ways Receives An Order For Smart Irrigation Systems Totalling CAD$930,000 In Laos

January 5, 2023 – Toronto, Ontario – Water Ways Technologies Inc. (TSXV: WWT) (“Water Ways” or the “Company“), is pleased to announce that it has received an order to deliver and install a 274 hectares (677 acres) turnkey Banana irrigation project in the Asian country of Laos. The Company will provide a complete smart irrigation system including drip lines, water treatment, filtration, reservoirs and pumps to a recurring customer. The order was received from an existing customer who is currently expanding his high density Banana plantation in Laos. The total value of the order is approximately CAD$930,000.  The Company expects to commence the project during Q2, 2023. Delivery and installation of the system will take place during 2023 and Q1 of 2024 and revenues are expected to be recognized during the installation period.

Water Ways Receives CAD$770,000 Blueberries Turnkey Irrigation Project in China

TORONTO, Nov. 10, 2022 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (FRA: WWT) (“Water Ways” or the “Company“), a global provider of Israeli-based agriculture technology, providing water irrigation solutions to agricultural producers, is pleased to announce that its 73% owned Chinese subsidiary, IRRI-AL TAL (Shanghai) Agriculture Technology Company Ltd. (“IAT (Shanghai)”), has signed a contract to deliver and install a 30 hectares (74 acres) turnkey blueberries irrigation project in the People’s Republic of China. IAT (Shanghai) is expected to deliver and install the project and recognize revenue partially during Q4 of 2022 and partially during Q1 and Q2 of 2023. The total value of the order is approximately CAD$770,000. IAT (Shanghai) signed the contract with a Chinese subsidiary of Driscoll’s (the “Client“), one of the largest berry growers operating in the world, controlling roughly one-third of the berry market. The Client is a recurring customer of Water Ways having used Water Ways for a successful planning, installation, execution and delivery in 2021 blueberry project (see press releases dated June 14, 2021 and November 23, 2020).

Water Ways Receives Second Apple Grove Smart Irrigation System Order in Canada

TORONTO, Oct. 24, 2022 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (FRA: WWT) (“Water Ways” or the “Company“), a global provider of Israeli-based agriculture technology, providing water irrigation solutions to agricultural producers, announces that its Canadian subsidiary, Heartnut Grove WWT Inc.(“HGWWT“), based in Mt. Brydges Ontario, received a second order to design and construct a complete smart irrigation and fertigation project from an existing customer. The apple growing project, in Southern Ontario, consists of an area of approximately 22 Hectares (about 54 Acres). The project, with a sale value of CAD$202,000, will use the latest Israeli drip irrigation technology and is designed by Water Ways’ engineers. HGWWT expects to deliver and install the project in Q4 of 2022 and Q1 of 2023.
