Water Ways Technologies Announces Oversubscribed Private Placement of CAD$4.44M and Escrow Closing of Second Tranche

TORONTO, July 27, 2021 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (“Water Ways” or the “Company“) announced that it has, in connection with its previously announced private placement (the “Financing“), closed an additional CAD$1.2 million (the “Second Tranche Gross Proceeds“) into escrow (the “Second Tranche Closing“). The Second Tranche Gross Proceeds are in addition to the CAD$3.24 million closed and previously disclosed in our press release dated June 30, 2021.

The Second Tranche Gross Proceeds represent subscriptions for an additional 10,022,850 units (the “Units“) at a price of CAD$0.12 per Unit. Each Unit is composed of one common share of the Company and one common share purchase warrant (the “Warrant“). Each whole Warrant entitles the holder thereof to acquire one additional common share of the Company (each a “Warrant Share“), upon payment to the Company of CAD$0.18 per Warrant Share until June 30, 2024, however, that if, following July 1, 2022, the volume weighted average price of the Common Shares of the Company for any 10 consecutive trading days equals or exceeds CAD$0.24, the Company may, upon providing written notice to the holders of the Warrants, accelerate the expiry date of the Warrants to the date that is 30 days following the date of such written notice.

The Second Tranche Closing will result in an increase to the aggregate amount previously announced on June 30, 2021, such that the total amount of Units sold pursuant to the Financing will be 37,039,516 Units.

The Company expects to pay finder’s fees in association with the Second Tranche Closing, payable in cash, of up to 4% of the Second Tranche Gross Proceeds and will issue that number of Finder Warrants as is equal to 10% of the Units sold pursuant to the Second Tranche Closing (“Finder Warrants“). Each Finder Warrant will be exercisable into a Unit upon payment by the holder thereof of CAD$0.12 per Unit. In connection with the Second Tranche Closing, the Company will issue Finder Warrants and pay a cash commission of CAD$51,000.

Closing of the Financing, including release of the Second Tranche Gross Proceeds from escrow, is subject to the final approval of the TSXV.

Water Ways Announces Escrow Closing of First Tranche of a Private Placement

TORONTO, June 30, 2021 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (“Water Ways” or the “Company“) today announced the escrow closing of the first tranche (the “First Tranche“) of a private placement (the “Offering“) of up to 33,333,333 units (the “Units“) at a price of CAD$0.12 per Unit, for gross proceeds of up to CAD$4,000,000 (the “Gross Proceeds“). The First Tranche escrow closing will result in the issuance of 27,016,666 Units. Each Unit is composed of one common share of the Company and one common share purchase warrant (the “Warrant“). Each Warrant entitles the holder thereof to acquire one additional common share of the Company (each a “Warrant Share“), upon payment to the Company of CAD$0.18 per Warrant Share until June 30, 2024, however, that if, following July 1, 2022, the volume weighted average price of the Common Shares of the Company for any 10 consecutive trading days equals or exceeds $0.24, the Company may, upon providing written notice to the holders of the Warrants, accelerate the expiry date of the Warrants to the date that is 30 days following the date of such written notice.

The Company expects to pay finder’s fees in association with the Offering, payable in cash, of up to 8% of the Gross Proceeds, and will issue that number of Finder Warrants as is equal to 8% of the Units sold (“Finder Warrants“). Water Ways Received Fifth Order for its Medical Cannabis IOT Precise Irrigation and Fertilization System

TORONTO, June 01, 2021 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (“Water Ways” or the “Company“), is pleased to announce that it received the fifth commercial order, effective May 23, 2021, for its Medical Cannabis Internet of Things (“IOT“) water and control system. The CAD$315,000 order was received from an Israeli Licensed Producer who is currently building a 7,000 Square meters (approximately 75,000 Sq/ft) Medical Cannabis Cultivation facility in of Israel. The system is an IOT controlled Water & Control system for Cannabis cultivators and growers. The Company expects to deliver and install the system by the end of 2021.

The purpose of the IOT system is to increase the yield and consistency for cannabis growers and cultivators while maintaining high quality, as well as reducing energy, water, and fertilization costs. The system was developed in Israel by the Company’s research and development staff of engineers using the Company’s unique experience and knowledge gained in the irrigation and control industry.

The system is comprised of the following components:

  • A precise drip irrigation system to maximize the cannabis plants nutritional absorption together with full monitoring and control of the plant water content as well as nutrition availability during the different growing stages.
  • A fertilizing system composed of two main components: raw fertilizer tanks and dosing pumps that inject accurate fertilizer formulation into the different compartments of the facility.
  • Drainage collection, filtration, and water treatment systems.
  • Monitoring and operating all the climate systems include HVAC, Lighting, air circulation, etc.
  • An IOT control gateway. An IOT Control Gateway is an integral component of the system which is comprised of an industrial controller and integrated specially developed software to monitor and control various components of the cultivation project. The system allows to control the whole cultivation process by allowing the user to adjust the following features:
    • Irrigation, fertilizing & filtration system.
    • Climate system monitoring and control.
    • Structural systems (benches, darkening & thermal screens, curtains, heating, dehumidification, ventilation, fans, etc.).

The controller and software are connected and synchronized with a local controller or sensors within the facility. The controller gathers data in a local and remote cloud so the cultivation management staff can use this information to track trends, symptoms and correctly manage their facility.

The controller software can be installed on smart phones, PCs, and local controller touch screens, allowing the growers to decide who is permitted to use the controller, and control it over the web remotely.

Water Ways’ Chinese Subsidiary Expands and Receives Two New Orders for Trellising and Smart Irrigation

The projects are:

  1. Planning, supply and installation of an advanced net house, trellising and smart irrigation system of a Passion Fruit Orchard; and
  2. A pilot project for an advanced net house combined with a drip irrigation system for a Cherry Orchard.

Water Ways Announces a New Order for a Cannabis Irrigation System in Israel

TORONTO, May 06, 2021 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (“Water Ways” or the “Company“), is pleased to announce that it received a CAD$130,000 new order for upgrading an existing Cannabis irrigation system to one of the largest Medical Cannabis licensed producers in Israel. Water Ways expects to deliver the system in Q3 of 2021.

The order was comprised of the following components:

  1. Upgrading the existing irrigation system, redesigning and replacing all the electric valves and pipeline for water distribution to the different growing areas.
    The goals of the upgrade were to raise the level of uniformity in irrigation and fertilization to bring about a more uniform growth and yield.
  2. Design and installation of a system of water tanks allowing better control of the quality and quantity of water entering the irrigation system in the field.
    The system includes circulating the water in a UV system for water disinfection and continuous monitoring of the salinity (EC) and acidity (pH) levels in the water in order to pinpoint the amounts of fertilizer added to the irrigation water.
  3. Design and delivery of foggers cooling system, for the clones and vegetative growing rooms (VEG). The system is designed to decrease the temperature and enrich the space with moisture on hot and dry days.
  4. Design and installation of a reverse osmosis (RO) system and a dilution junction that can control the levels of salts in the water. The system will allow the introduction of salt-less water into the fogging system, and at the same time, the system is enabling to maintain constant levels of salts that reach the irrigation system.

Water Ways’ Strawberry Irrigation Project in Ethiopia Expands to CAD$470,000

TORONTO, April 26, 2021 (GLOBE NEWSWIRE) — Water Ways Technologies Inc. (TSXV: WWT) (“Water Ways” or the “Company“), is pleased to announce that the CAD $330,000 strawberry irrigation project in Ethiopia (previously announced on March 18, 2021) has expanded to a value of approximately CAD$470,000. The strawberry irrigation project covers an area of 20 hectares of greenhouses, using Israeli drip irrigation technology. Water Ways signed the agreements with a wholly owned subsidiary of Midroc Ethiopia Investment Group, one of the largest investment companies operating in Ethiopia following successful implementation of projects previously signed with the group in 2020 (See press release dated September 9, 2020). The expansion uses advanced Israeli technology of water delivery system, from Lake Tana, the largest lake in Ethiopia and the source of the Blue Nile, to the project.
